Facilitator & Licensing Agreement for Visions – Chapter III, LLC

Memorandum of Understanding

**Licensing agreement - Read all agreements and they will apply to separate kits.

I, ________________________________________(Print name) agree to the following:

1. I am an independent contractor for Visions – Chapter III, LLC, not an employee, therefore I will not receive any benefits, including, but not limited to, insurance and the like. I will be responsible for the payment of my own taxes.

2. I will not engage in any conduct that may bring dishonor on Visions – Chapter III, LLC, or tarnish its reputation or credibility. Visions – Chapter III, LLC, will be the sole judge as to whether or not the conduct is bringing dishonor on Visions – Chapter III, LLC and reserves the right to terminate this Contract for any conduct Visions-Chapter III, in its sole discretion, believes violates the provisions of this paragraph

3. I agree to abide by the policies and procedures of Visions – Chapter III, LLC, and to fulfill my responsibilities as a facilitator and licensee to the best of my abilities.

4. I acknowledge the responsibility of Visions – Chapter III, LLC to the host organization and promise to uphold the good reputation and goodwill of Visions – Chapter III, LLC.

5. I acknowledge that I am solely responsibly for my states sales tax for retail and educational sales where they apply.

6. I am responsible for workshops facilitated by me and indemnify Visions – Chapter III, LLC from any liabilities, damages, claims or actions (including attorney’s fees), caused by or arising out of a facilitators acts or omissions in serving as a facilitator.

7. Independent Contractor acknowledges that the Confidential Information will not be disclosed or used by the Independent Contractor for any other purpose than to assist in the purchase of Disclosing Parties assets. Independent Contractor promises and agrees to receive and hold the confidential information in confidence.

8. Confidential Information shall include but not be limited to trade secrets, customer lists, pricing formulas, business training, techniques, strategic business plans, financial information, customer information and other information, formula, processes, inventions and services related to the aforementioned. I will not share this kit with unpaid persons.

9. Independent Contractor agrees not to solicit, directly or indirectly, any clients of Visions – Chapter III, LLC or any current employees of Visions – Chapter III, LLC.

Further, I understand that if I fail to abide by this agreement, or otherwise fail to abide by my duties and responsibilities as a a facilitator and licensee, Visions – Chapter III, LLC can terminate my status as a a facilitator and licensee without a refund
